ROWSE LIMITED
DRAFT FOR LEGAL AND OPERATIONAL REVIEW
Prepared: 29 September 2026 | Proposed version: 1.0 | Effective date: [insert approved publication date]
These Terms cover our websites, purchases, quotations, payment links and online services. Some provisions apply only to Business Customers or only to Consumers, as indicated. Please read them before ordering or using an online service and keep a copy.
Part A - About these Terms and using our websites
1. Who we are and how to contact us
1.1 In these Terms, "Rowse", "we", "us" and "our" mean Rowse Limited, a company registered in England and Wales under company number 05220551. Rowse, Rowse Pneumatics and Rowse Automation are trading names of the same company, not separate contracting entities.
1.2 Our registered office is C/O Francis Clark LLP, Melville Building East, Royal William Yard, Plymouth, Devon, United Kingdom, PL1 3RP. Our trading and correspondence address is Units 5/6 Drake Mill Business Park, Estover Road, Plymouth, Devon, PL6 7PS. Our VAT registration number is GB846844683.
1.3 Contact us at [email protected], by telephone on +44 (0)1752 774488, or by writing to our trading address. These details may also be used for complaints, cancellation notices and questions about these Terms. Please contact us before returning goods so that we can provide suitable instructions; this does not make a statutory cancellation or remedy dependent on our permission. Do not send returns to our registered office.
2. Scope and definitions
2.1 These Terms apply to all websites owned or operated by Rowse Limited which identify Rowse as their operator and make these Terms available. This includes rowse.co.uk, rowse-pneumatics.co.uk and rowse-automation.co.uk, their subdomains, and any additional Rowse-operated stores, customer portals, applications or online tools that incorporate these Terms. They do not apply to an unrelated business merely because it uses a similar name or links to us.
2.2 These Terms also apply, where provided before the contract is made, to orders placed through quotations, email, telephone, payment links, trade accounts and connected ordering systems. A separate signed or expressly agreed contract may replace or vary them for a particular transaction.
2.3 "Consumer" means an individual acting for purposes wholly or mainly outside their trade, business, craft or profession. "Business Customer" means a customer acting for business or professional purposes who is not a Consumer. Status depends on the actual transaction, not simply on the type of product, an account label or a tick box.
2.4 "Goods" means physical products we supply. "Services" includes separately agreed procurement, technical, digital and other services. "Tools" includes calculators, converters, selectors, configurators, pneumatic or electrical designers, search facilities and other interactive features. "Customer Content" means material you submit or create through a service, including drawings, specifications, project data, text, images and personal contributions to designs. "Output" means a result or document generated through a Tool, including a calculation, diagram, design, report or bill of materials.
2.5 "Contract" means an agreement formed under clause 10. "Order Acceptance" means a communication from us expressly confirming that we have accepted a specified order. "Business Day" means a day other than a Saturday, Sunday or public holiday in England. Other references to days mean calendar days.
3. Which terms apply and when
3.1 We will make relevant terms available before you order, accept a quotation or register for a service. Where we request agreement, you should read the terms before confirming it. Merely receiving a payment link or invoice does not retrospectively add new terms to an existing Contract. Website-use provisions apply where we have given appropriate notice of them; browsing alone does not create an obligation to buy anything.
3.2 For a particular Contract, the order of priority is: a separately signed or expressly agreed contract or framework agreement; transaction-specific terms expressly agreed by both parties, including an accepted specification or quotation; relevant service-specific terms provided and agreed before contracting; and these Terms. An Order Acceptance cannot unilaterally remove terms already agreed. Mandatory legal rights take priority throughout.
3.3 For Business Customers, purchase-order terms or other customer standard terms do not apply unless we expressly agree to them. Please raise any conflicting conditions before an order is accepted. A contractual flow-down or customer requirement that we have expressly accepted remains binding and is not displaced by general website wording.
3.4 Our Privacy Policy and Cookie Policy explain our handling of personal data and tracking technologies. They are not a request for blanket consent. Delivery, returns and service information provided before contracting supplements these Terms but cannot reduce mandatory rights or retrospectively alter a Contract.
4. Changes to these Terms and services
4.1 The version agreed when a Contract is made applies to that Contract. We may update these Terms for future transactions to reflect legal changes, security requirements, changes in our operations or new services. We will identify the updated version and effective date.
4.2 For an ongoing service, we will explain a proposed material change and normally give at least 30 days' notice. A change will be limited to what is reasonably needed for the stated reason. Where it materially disadvantages you, you may end the affected service before it takes effect and receive any refund due for an unused prepaid period. Existing rights and licences to lawfully exported Output will not be retrospectively withdrawn.
4.3 A legal or urgent security requirement may require a shorter notice period. We will explain this where permitted and act proportionately. We will not introduce charges for a previously free service without your express agreement to the paid service.
5. Accounts, authority and security
5.1 You must be at least 18 to place an order or enter a paid service contract. Anyone acting for a Business Customer must be authorised to bind that customer. You must provide accurate billing, delivery, contact and account information and update it when necessary.
5.2 Keep login details secure, use appropriate access controls and promptly report suspected unauthorised use. Organisational account administrators are responsible for managing their authorised users and permissions. We may request proportionate identity or authority checks before granting access, releasing information or changing payment or delivery details.
5.3 You are responsible for instructions you authorise and for loss caused by your breach of reasonable account-security obligations. You are not automatically responsible for every unauthorised action merely because it occurred through your account, particularly where caused by our failure to use appropriate security.
5.4 Linked accounts or common sign-in facilities may operate across Rowse websites where described. This does not give you access to another person's or organisation's records. Account access does not by itself establish credit terms or authority to place orders for another legal entity.
6. Acceptable use and website access
6.1 You may use our websites for lawful browsing, purchasing, procurement, research and project work consistent with the permissions in these Terms. You must not introduce malicious code, attempt unauthorised access, impersonate others, make fraudulent orders, interfere with other users, bypass access controls or overload our systems.
6.2 Without our permission, you must not systematically scrape, copy or commercially exploit substantial parts of our catalogue, pricing, images, content or databases; use automated purchasing or extraction systems that circumvent restrictions; or use protected website material to train or build a competing commercial system. This does not restrict an activity that applicable law makes non-excludable, authorised integrations or ordinary search-engine indexing permitted by our published instructions.
6.3 Do not upload unlawful, infringing, threatening, defamatory or malicious material, or personal information you have no right to disclose. We may investigate misuse, preserve necessary evidence, restrict harmful activity and make disclosures required or permitted by law, subject to our data-protection obligations.
6.4 We aim to keep our websites available but do not promise uninterrupted access to free features. Maintenance, security work and technical faults may interrupt access. Any promised availability, support or recovery commitments for a paid service must be set out in that service's agreed terms. Our responsibilities under clauses 34 to 36 are unaffected.
Part B - Quotations, orders, payment and supply
7. Product information, stock and lead times
7.1 We take reasonable care over product descriptions, prices and availability information. Images may show a product family or optional accessories; the stated product reference, description and agreed specification identify what is included. Illustrative images do not override express descriptions or information on which a Consumer is entitled to rely.
7.2 Availability may refer to stock held by Rowse, stock held by a supplier or an item available to order. We will identify the applicable status and relevant lead-time information where displayed. An indication that some stock is available does not mean an unlimited quantity is immediately available. Where an order exceeds available stock, we will explain the position for the additional quantity before accepting a different supply arrangement.
7.3 Dispatch time and delivery transit time are different. A courier's delivery service starts after dispatch and does not include a manufacturer or supplier lead time. We will make relevant lead times clear before contracting and will not use these Terms to contradict a specific delivery promise.
7.4 We will tell you about a material availability or timing change. Where your agreement is needed to a revised date, split shipment, alternative product or other change, we will obtain it expressly. Your silence or failure to answer an email is not acceptance of a new lead time or other material variation.
7.5 Catalogue errors, discontinued products and manufacturer revisions may require clarification. Before a Contract is formed, we may correct information and invite a revised order. After formation, changes require agreement or a lawful contractual right; we will not simply supply a materially different item or charge a higher price without agreement.
8. Specifications, suitability and special requirements
8.1 Rowse generally acts as a distributor and procurement supplier, not the original manufacturer. This does not remove responsibilities that apply to us as seller, distributor, importer, producer or otherwise under law, or obligations we expressly accept.
8.2 Tell us before ordering about any essential application, compatibility, operating environment, safety requirement, certification, country of origin, traceability, shelf life, inspection, packaging or documentation requirement. Business Customers should provide complete drawing revisions, product references and contractual flow-downs. Requirements affecting price or supply must be expressly agreed before acceptance.
8.3 A National Stock Number, cross-reference, product selector or suggested alternative assists identification but does not alone establish interchangeability, approval for a particular platform or compliance with a customer's entire specification. Agreed requirements take priority over a generic catalogue description.
8.4 Unless expressly included, supply does not include installation, commissioning, design approval, system certification, testing to a special process or additional certificates. This does not exclude documents or information we must provide by law, or items expressly included in the Contract.
8.5 Products must be selected, installed, used, inspected and maintained by appropriately competent people in accordance with applicable instructions and requirements. Tell us about safety-critical applications before ordering. Advice and Tool results do not replace a competent assessment, but this clause does not exclude responsibility for advice, suitability or design work we expressly undertake or for statutory obligations.
8.6 We will not substitute a materially different product, change an agreed manufacturer or relax an agreed specification without authorisation. A manufacturer warranty, approval or certificate will only be represented as available where it applies to the supplied product and transaction.
8.7 Tell us promptly about a suspected serious safety defect. Follow appropriate stop-use, quarantine or recall instructions and cooperate reasonably with necessary traceability checks. We will meet our own product-safety and recall duties; this clause does not transfer those duties or automatically pass recall costs to a Consumer.
9. Quotations and estimates
9.1 Unless the quotation states otherwise, a quotation is valid for 30 days from issue and is an invitation to place an order, not a binding offer capable of acceptance without our confirmation. Estimates and budget prices are indicative, not fixed quotations. A document expressly stated to be a binding offer is governed by its stated acceptance procedure instead.
9.2 A quotation applies only to its stated quantities, specification, currency, delivery basis and payment conditions. A change in these details may require a new quotation. Unless stated otherwise, it does not reserve stock, production capacity or exchange rates before acceptance.
9.3 If a price, availability or material condition changes before we accept your order, we will tell you and obtain agreement before proceeding on the revised basis. Once a Contract is formed, the agreed price and terms apply, subject only to expressly agreed adjustments and mandatory legal requirements.
9.4 A quotation marked non-cancellable, non-returnable or special order has the effect expressly agreed for a Business Customer. Such a label does not remove a Consumer's statutory cancellation or faulty-goods rights.
10. Ordering and contract formation
10.1 Before submitting an order, check the product reference, quantity, specification, delivery address, tax treatment and total price. Online ordering will provide an opportunity to review and correct information before the final payment or order step. Contracts are concluded in English unless expressly agreed otherwise.
10.2 Submitting an online order, sending a purchase order, requesting that we proceed with a quotation or making a payment against an unaccepted order is normally your offer to purchase on the terms supplied beforehand. A payment request, pro forma invoice, automated receipt acknowledgement or payment-provider receipt is not itself Order Acceptance unless it expressly says we accept the specified order.
10.3 A Contract is formed when we send an Order Acceptance, or, if earlier and no other formation procedure was expressly agreed, when we dispatch the Goods or begin the agreed Service in response to your order. We will confirm acceptance before making a non-cancellable procurement or manufacturing commitment for which we intend to hold you responsible. Internal order statuses do not override an express acceptance already communicated to you.
10.4 Acceptance identifies the Goods or Services covered. A genuinely separate acceptance may cover only specified items, but we will not fragment an order to deprive a Consumer of cancellation or delivery rights. Any proposed partial fulfilment materially different from your order requires agreement.
10.5 We may decline an order before acceptance for a legitimate reason, including unavailable Goods, an unresolved pricing error, failed payment, inability to verify authority or a legal restriction. We will inform you and return any payment for an unaccepted order promptly. We will not retain funds indefinitely while leaving acceptance unresolved.
10.6 We will provide the agreed contract information and applicable terms in an email or other form you can retain. Keep this record; an online account need not be the permanent archive of a Contract. For marketplace purchases, mandatory marketplace rules and separately agreed transaction terms also apply and cannot be displaced by a later website notice.
11. Prices, VAT, charges and promotions
11.1 The price and currency are those agreed for the Contract. Consumer-facing prices will include applicable VAT and other unavoidable charges where required. A clearly identified business-only price may exclude VAT, with the applicable tax shown separately. Delivery and any other additional costs will be disclosed before the order becomes binding, including how they are calculated where a fixed amount cannot reasonably be given.
11.2 We will not add optional extras without express agreement or impose a payment surcharge prohibited by law. Promotions apply only to their stated eligibility, products, period and conditions. A later promotion does not automatically change an existing Contract.
11.3 If we discover a pricing error before acceptance, we will explain the correct price and allow you to proceed or withdraw. After acceptance, we will not unilaterally increase the price or cancel merely because the sale has become less profitable. Any right concerning a genuine mistake is subject to applicable law and the circumstances.
11.4 A Consumer's agreed total price will not be increased without express agreement unless a specific lawful tax adjustment was transparently agreed beforehand. Business price-adjustment mechanisms apply only where expressly included in the Contract, not merely because supplier costs or exchange rates have changed.
12. Payment methods and payment links
12.1 Unless approved credit or staged-payment terms apply, payment is due in the amount and at the stage disclosed before ordering. We may require cleared payment before dispatch or before starting agreed procurement or work. A deposit is credited against the Contract price; it is not automatically non-refundable.
12.2 A payment link may collect payment for an order, quotation, invoice, deposit or outstanding balance. The payment request should identify its purpose, amount and currency and make the applicable order details and terms available before payment. Paying a link for an existing Contract does not replace that Contract or impose new conditions.
12.3 Payment alone does not mean that unaccepted Goods are in stock, reserved or dispatched. Where payment relates to an order still awaiting acceptance, clause 10 applies. We remain your seller unless another seller was clearly identified before contracting; using a third-party payment provider does not transfer our sales obligations to that provider.
12.4 You must be authorised to use the payment method. A person paying on someone else's behalf does not automatically become the purchaser, a guarantor or the owner of that person's account data. We may seek reasonable clarification where payer and purchaser details differ.
12.5 Check unexpected payment requests or requests to change bank details using a contact method you already trust. Do not send full card information or security codes by email or upload them to a Tool. We may pause a transaction while investigating a reasonable fraud concern, but will not treat a good-faith complaint or payment dispute as fraud without evidence.
12.6 Refunds are normally made to the original payment method. A different method will be used only with appropriate verification and, where required, your express agreement. We will not deduct our payment processor's non-refundable fees from a Consumer's statutory refund. A payment-provider delay does not extend a legal deadline that applies to us.
12.7 Nothing in these Terms removes rights to raise a legitimate payment dispute, use an applicable chargeback process or exercise statutory rights against a credit provider. Neither party may recover the same sum twice. A valid debt remains payable to the extent it has not been lawfully cancelled, refunded or otherwise discharged.
13. Business credit accounts and overdue payments
13.1 This clause applies only to Business Customers. Credit is subject to approval. Your agreed credit limit, due date and any deposit requirements will be set out in the account agreement, quotation or Contract. An online account does not itself grant credit.
13.2 We may review credit for future orders using relevant information and proportionate checks described in our Privacy Policy. We will not retrospectively shorten an agreed payment period merely by changing an account setting. A failure to pay or other material breach may give rise to the remedies expressly provided in the Contract.
13.3 For qualifying overdue commercial debts, we may claim statutory interest, compensation and reasonable recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998 and associated legislation, to the extent applicable. We will not recover the same costs twice or apply an undisclosed arbitrary penalty.
13.4 Raise invoice disputes promptly with supporting details and pay any undisputed amount when due. Payment may not be withheld or set off against an unrelated claim except where agreed, required by law or established by a final court decision. This does not prevent a genuine defence concerning the amount actually due under the relevant Contract.
13.5 After proportionate notice and a reasonable opportunity to resolve an overdue amount, we may suspend affected performance where the Contract and law permit. Any insolvency-related suspension, termination, debt acceleration or retention-of-title action is subject to applicable insolvency restrictions.
14. Delivery, collection and delays
14.1 We will deliver to the agreed address or make Goods available for an agreed collection. Tell us about access restrictions, security requirements, unloading arrangements or special delivery instructions before acceptance. Installation, lifting and specialist unloading are included only if agreed or required by law.
14.2 We will meet an expressly agreed delivery commitment. An estimate is not a guarantee, but does not permit indefinite delay. For Consumers, unless a different delivery period has been agreed, Goods will be delivered without undue delay and within 30 days after the Contract is made. A longer manufacturer lead time must be agreed, not simply announced after purchase.
14.3 A Consumer may end the Contract immediately where we refuse delivery, where timely delivery was essential in the circumstances, or where the Consumer told us before contracting that the date was essential. Otherwise, the Consumer may set an appropriate additional delivery period and end the Contract if we do not meet it. Other legal remedies remain available.
14.4 For Business Customers, time is not of the essence unless expressly agreed, but an agreed delivery obligation remains binding. Tell us before contracting about critical dates or consequences requiring a specific service commitment. This clause does not exclude remedies for our breach or unreasonable delay.
14.5 We may propose instalments or direct shipment from a supplier. A split will not increase agreed delivery charges without agreement or materially disadvantage a Consumer without consent. We remain responsible for our contractual obligations when using a supplier or courier.
14.6 If delivery fails because of incorrect information or unavailable access attributable to you, we may recover reasonable additional costs we actually incur, provided they were disclosed or are otherwise legally recoverable. We will explain the position and arrange redelivery or collection. Failure to receive a parcel does not automatically permit us to retain its full price.
14.7 Collect Goods within the agreed collection period. For uncollected Goods, we will contact you and give reasonable notice before charging agreed reasonable storage costs or exercising any lawful cancellation or resale right. Any settlement will account for sums paid, recoverable costs and resale proceeds without double recovery.
15. Risk and ownership of Goods
15.1 For Consumers, Goods remain at our risk until they come into your physical possession or that of a person you identify to receive them. The legal exception applies where you independently commission a carrier that we did not offer: risk then passes when we hand the Goods to that carrier. A dispatch notification or our courier's collection does not otherwise transfer risk to you.
15.2 For Business Customers, unless an agreed delivery term provides otherwise, risk passes when Goods are delivered to the agreed address or collected by you or your independently appointed carrier. Any agreed Incoterms rule must identify its version and named place and applies to the matters it regulates.
15.3 Ownership passes when we have received full cleared payment for the relevant Goods. For Business Customers, until then, keep them identifiable, reasonably protected and insured, and do not pledge them as security. Resale or incorporation in the ordinary course of business is permitted unless lawfully withdrawn before it occurs.
15.4 If payment is overdue, we may request return of identifiable Goods still owned by us where legally permitted. This is not a right to force entry, remove third-party property or disregard insolvency protections. Recovery, credits and any resale will be accounted for fairly, without recovering more than we are entitled to.
16. International orders and trade compliance
16.1 International supply is subject to destinations we accept and applicable export controls, sanctions, customs and product requirements. We may request accurate end-user, end-use, destination or licence information and refuse or suspend a transaction where a lawful restriction or unresolved compliance concern requires it.
16.2 Responsibilities for export clearance, import clearance, duties, local taxes and any importer-of-record role will be identified in the quotation or checkout and any agreed delivery term. You are not made importer of record by these Terms alone. We will disclose costs we charge and explain reasonably foreseeable additional charges or their calculation where required.
16.3 You must not knowingly provide false trade information, divert Goods unlawfully or arrange an unlawful export, re-export or prohibited use. Neither party is required to do something illegal. A licence application does not guarantee approval or an unqualified delivery date.
16.4 Where supply becomes unlawful or a required permission is refused, we will explain the effect on the order, to the extent permitted. Refunds, termination and any recoverable business costs will be dealt with under the Contract and applicable law, including any prohibition on returning funds. A general export clause does not override mandatory Consumer protections or our own regulatory responsibilities.
17. Consumer cancellation of distance orders
17.1 This clause applies to Consumers entitled to cancel a distance or off-premises contract under applicable law. Subject to the specific exceptions in clause 19, you may cancel without giving a reason from placing an order until 14 days after the day you or your nominated recipient, other than the carrier, receives the Goods.
17.2 For several Goods ordered together and delivered separately, the period normally runs from receipt of the last item. For Goods supplied in several lots or pieces, it normally runs from receipt of the last lot or piece. For regular delivery of Goods over a defined period, it normally runs from receipt of the first delivery.
17.3 Tell us clearly that you wish to cancel using the contact details in clause 1. You may use Schedule 1, but do not have to. A clear email, letter or other unequivocal statement is sufficient. Sending notice before the deadline is sufficient; an internal returns-authorisation number is not a condition of a statutory cancellation.
17.4 Unless we agree or are legally required to collect, send the Goods back without undue delay and within 14 days after telling us you are cancelling. You bear the direct return cost only where we informed you before the Contract that you would do so. For Goods that cannot normally be returned by post, we will provide the required information about return costs before contracting; we will not impose an undisclosed collection charge. Where the law requires collection at our cost, we will arrange it without charging you.
17.5 You may inspect Goods to establish their nature, characteristics and functioning. Please package returns securely and include available accessories and supplied documents. We may make a lawful deduction for diminished value caused by handling beyond what is reasonably necessary, but not a standard restocking fee. Original packaging is helpful, not an absolute condition of statutory cancellation.
17.6 These cancellation rights are separate from rights for faulty, misdescribed or late Goods. Where required cancellation information has not been provided, any statutory extension applies.
18. Consumer cancellation refunds
18.1 On a valid statutory cancellation, we will refund the amount due, including the least expensive standard outbound delivery option we offered for the cancelled order. We need not refund the additional cost of a premium delivery method you expressly chose. Partial cancellations will be assessed consistently with applicable law and the delivery charges attributable to the retained and cancelled Goods.
18.2 Refunds will be made without undue delay. Where we are not collecting Goods, the deadline is 14 days after we receive them back or, if earlier, receive evidence you sent them back. Where we offer collection, or no Goods need returning, the deadline is 14 days after you tell us of cancellation.
18.3 We will use the original payment method unless you expressly agree otherwise, without a refund fee. Any deduction must be legally permitted and explained. We will not deduct diminished value where the required cancellation information was not provided.
19. Exceptions to Consumer change-of-mind cancellation
19.1 A statutory exception may apply to Goods genuinely made to your specifications or clearly personalised, Goods liable to deteriorate or expire rapidly, Goods inseparably mixed with other items after delivery, sealed Goods unsuitable for return for genuine health-protection or hygiene reasons once unsealed, or sealed software, audio or video recordings once unsealed. We will identify a relevant exception before you commit to the order.
19.2 Cut-to-order, engraved, specially fabricated or genuinely bespoke assemblies may fall within an exception depending on the facts. A standard catalogue product is not automatically exempt merely because we order it from a supplier, do not normally stock it, obtain it from overseas or describe it as "special order". Selecting standard options does not automatically make a product bespoke.
19.3 Exceptions for Services and digital content are explained in clause 23. These exceptions affect change-of-mind cancellation only; they do not remove rights where Goods, Services or digital content are faulty, misdescribed or otherwise not supplied as legally required.
20. Faulty Goods and Consumer remedies
20.1 Goods supplied to Consumers must meet applicable legal requirements, including satisfactory quality, correspondence with their description and fitness for a particular purpose made known to us where the law requires. A manufacturer's guarantee supplements rather than replaces your rights against us.
20.2 You normally have a 30-day short-term right to reject non-conforming Goods and receive a refund. The statutory rules determine when that period begins, any shorter period for rapidly perishable Goods and extensions while an agreed repair or replacement is carried out.
20.3 Depending on the circumstances, you may require repair or replacement without charge, within a reasonable time and without significant inconvenience. Where the statutory conditions are met, including an unsuccessful repair or replacement or an unavailable or delayed remedy, you may be entitled to a price reduction or final rejection and refund. Any permitted deduction for use is governed by law.
20.4 For relevant remedies, a fault appearing within the first six months is generally presumed to have existed at delivery unless we establish otherwise or that presumption is inconsistent with the nature of the Goods or fault. Rights can continue beyond a manufacturer's warranty and beyond six months; those periods are not a universal product-life guarantee.
20.5 Report a problem as soon as reasonably possible, with purchase details and a description. We may reasonably inspect Goods, but will bear return or collection costs we must bear by law. A Consumer's rights do not depend on retaining the original packaging, notifying transit damage within an arbitrary short deadline or pursuing the manufacturer instead of us.
20.6 Faulty-goods refunds will be made within the applicable statutory deadline, including, where required, within 14 days after we agree you are entitled to the refund. We will not charge for providing a statutory remedy. Damage genuinely caused by misuse, unsuitable installation by others or ordinary wear is not automatically a defect for which we are responsible.
21. Business cancellations, returns and inspections
21.1 This clause applies only to Business Customers. There is no general contractual right to cancel an accepted order or return conforming Goods simply because you change your mind. Rights for our breach, non-conforming supply or an expressly agreed cancellation right remain unaffected.
21.2 A requested change or cancellation requires our written agreement. We may make it conditional on reasonable, evidenced net losses caused by that change, including non-recoverable procurement, fabrication, carriage or supplier return costs. We will take reasonable steps to reduce loss and account for savings, recoveries and resale value. We will not obtain double recovery or impose a punitive charge.
21.3 Where a non-cancellable or non-returnable business commitment is important, it must be clearly identified before acceptance. Cancellation costs can be substantial once bespoke work or non-returnable procurement has begun, but must remain subject to the agreed Contract and applicable law.
21.4 Discretionary returns require agreement covering condition, return method, deadline, costs and any reasonable restocking deduction before you return the Goods. Normally these returns must be unused, complete and in saleable condition. These conditions do not govern a justified rejection of defective or incorrectly supplied Goods.
21.5 Inspect deliveries promptly. Please report visible damage, shortages or incorrect Goods within seven Business Days where reasonably possible, and latent defects promptly after discovery. This is not an absolute exclusion of a valid claim solely because a problem could not reasonably be identified within that period. Unreasonable delay may affect a claim to the extent it causes avoidable loss or materially prevents investigation.
22. Business product warranties and remedies
22.1 For Business Customers, we warrant that on delivery Goods will materially correspond with their agreed description and specification, be of satisfactory quality within the meaning applicable to the sale and meet any particular purpose we have expressly accepted responsibility for. Disclosed used, refurbished or surplus condition is taken into account, but is not a blanket exclusion of agreed quality obligations.
22.2 Manufacturer guarantees apply according to their actual scope, duration and transferability. We do not invent a manufacturer's warranty or represent that it covers an unsuitable application. We will provide reasonable assistance with an applicable claim, without excluding our own contractual responsibilities.
22.3 Where a business warranty claim is justified, we will have a reasonable opportunity to examine the Goods and offer repair, replacement or a refund for the affected Goods, as appropriate. This does not prevent another remedy required by law or agreed where an offered remedy is unavailable, inadequate or not delivered within a reasonable time.
22.4 We are not responsible under this warranty to the extent a defect is caused by your inaccurate specification, misuse, unsuitable storage, unauthorised modification, incorrect installation by others, failure to follow applicable instructions or ordinary wear. A cause unrelated to the defect will not invalidate an otherwise valid claim.
22.5 Except for express obligations in the Contract and terms that cannot lawfully be excluded, other implied business terms are excluded only to the extent permitted by law and subject to the applicable reasonableness test. This does not exclude our right-to-sell obligations, and the liability provisions in clauses 34 and 36 remain applicable.
23. Services, digital content and paid Tools
23.1 Where we expressly agree to supply a Service, its scope, deliverables, timetable, dependencies and charges will be described before contracting. We will exercise reasonable care and skill. Paid digital content will meet applicable requirements concerning quality, description and any particular purpose for which we are legally responsible.
23.2 Consumer remedies for a deficient Service may include repeat performance or a price reduction. Remedies for deficient digital content may include repair or replacement and a price reduction where the statutory conditions are met. Rights to repair or compensation for qualifying damage to a Consumer's device or other digital content also remain available, including where relevant digital content was free.
23.3 A Consumer entitled to cancel a distance Service or digital-content contract normally has 14 days from the day after the Contract is concluded. For a Service to start during that period, we will obtain the required express request. A proportionate charge for work supplied before cancellation is payable only where the required request and information requirements have been met. The cancellation right is lost on full performance only where the required acknowledgement has also been obtained.
23.4 For digital content supplied other than on a physical medium, supply during the cancellation period requires the Consumer's express consent and acknowledgement of the loss of the cancellation right when supply begins, with the required confirmation. Agreeing generally to these Terms is not a substitute for that separate consent and acknowledgement.
23.5 Before any subscription or recurring charge starts, we will separately disclose the price, billing period, minimum term, renewal arrangements, cancellation method and applicable reminders and rights. No trial, free Tool or stored project becomes chargeable automatically without the required express agreement. Any Consumer subscription must also comply with the mandatory rules applicable when offered; these general Terms are not a substitute for its service-specific information.
23.6 Any software licence, compatibility requirement, usage restriction or update/support period material to a purchase will be disclosed before contracting. Necessary changes must not remove paid-for functionality or statutory rights without an appropriate contractual and lawful remedy.
Part C - Tools, data storage, content and intellectual property
24. Purpose and limitations of Tools
24.1 Unless a separate professional service is expressly agreed, our Tools provide general planning, calculation, comparison or design assistance. They are not independent engineering verification, safety certification, commissioning approval or a guarantee of regulatory compliance.
24.2 Results depend on inputs, assumptions, units, formulas, datasets and the Tool version. Check these, the relevant manufacturer information and the complete real-world application. A drawing, simulated circuit or bill of materials may omit components, protective measures, environmental effects or operating conditions not modelled by the Tool.
24.3 Before purchasing, manufacturing, installing or operating a system, arrange any necessary assessment by a competent professional. Do not rely solely on an automated result for a safety-critical decision. This requirement does not excuse our failure to exercise a duty of care or to deliver an expressly agreed professional service.
24.4 Tool-generated prices, product matches and bills of materials are not Order Acceptances or firm quotations unless expressly identified as such. Saving a design does not reserve products or guarantee future availability or pricing. A proposed substitute requires appropriate technical verification and any necessary contractual approval.
24.5 Where an AI-assisted feature is expressly offered, it may produce incomplete, inaccurate or non-unique material. Review it before use. No Output is represented as a manufacturer's approval, a legally effective certificate or evidence that a prescribed inspection has taken place unless that process has actually been undertaken and expressly confirmed.
25. Saving projects, local storage and hosted storage
25.1 A Tool may hold data temporarily during a session, locally in your browser or device, in your Rowse account, or through a combination of these methods. The relevant service information will explain the available saving method. Do not assume that completing a screen, exporting a document or using a Tool while logged in necessarily saves a recoverable hosted copy.
25.2 Browser or device storage may be lost when you clear data, use private browsing, change devices, remove software or lose access to the device. Local storage does not itself synchronise across devices. A hosted save requires the save process to complete successfully.
25.3 Where hosted saving is offered, storage allowances, supported formats, retention arrangements and export facilities will be described in the service information. A free account is not a permanent archive, certified engineering record, managed backup service or disaster-recovery service unless expressly stated otherwise.
25.4 Keep independent copies of important inputs, Output, drawings, quotations and records, and check exported files. We will use the care and security measures required by law and by any agreed service commitments, but do not guarantee recovery of every accidentally deleted, corrupted or unsaved item. Your backup responsibilities do not exclude liability for our own breach.
25.5 Unless immediate action is required by law, a serious security threat or a request you have made, we will give at least 30 days' notice before deliberately deleting identifiable hosted projects solely because of inactivity, reducing their available storage in a way that requires deletion, or withdrawing the relevant storage service. During that period we will provide a reasonable way to retrieve available data. A specific retention or expiry period clearly agreed for a temporary service also applies.
25.6 After closure or deletion, relevant copies may remain temporarily in protected backups until the scheduled deletion cycle completes, or be retained where legally necessary. Retained personal data will be restricted to a justified purpose and handled as explained in our Privacy Policy. Deleting a project does not necessarily delete invoices, transaction records or legally required traceability records.
26. Confidentiality, access and restricted information
26.1 Customer Content placed in a private project will not be made public merely because it was created on our website. We may access it only as reasonably necessary to provide, maintain, secure or support the service, follow your instructions, investigate a specific misuse concern or meet a legal obligation. Appropriate confidentiality obligations will apply to people given authorised access.
26.2 You must have authority to provide business-confidential information and to grant access to other users. Review sharing settings carefully. A public link or collaborator invitation may enable its recipients to access, copy or redistribute material; do not use public sharing for information that requires restricted access.
26.3 Do not upload classified material, information marked OFFICIAL-SENSITIVE, export-controlled technical data, access credentials, payment-card security data or highly sensitive personal information through ordinary Tools or forms unless we have expressly agreed a suitable secure arrangement beforehand. Our ordinary website services are not represented as an accredited environment for restricted defence or other controlled information.
26.4 Where a separate confidentiality, security or controlled-data agreement is needed, it must be agreed before the information is transferred. Our basic confidentiality and data-protection duties still apply to information we receive; a lack of a separate agreement is not permission to publish it.
26.5 We will not use private Customer Content in advertising, sell it as a dataset, or use it to train a general-purpose AI model without a separate, clear agreement or opt-in covering that use. Sending inputs to a disclosed AI provider to produce a requested result is a different processing activity and must be explained before use, with appropriate terms and safeguards.
27. Personal data, cookies and service providers
27.1 We process personal data in accordance with applicable data-protection law, including the UK GDPR and Data Protection Act 2018 as amended. Our Privacy Policy describes purposes, lawful bases, recipients, retention, international transfers, individual rights and how to raise a concern. Our Cookie Policy explains cookies, local storage and similar technologies where applicable.
27.2 Accepting these Terms is not consent to unrelated marketing, optional tracking or unrestricted use of personal data. Where consent is legally required, it will be requested separately and can be withdrawn as explained in the relevant notice. Lawful processing necessary for an order does not depend on agreeing to optional marketing.
27.3 We may use appropriate hosting, payment, communications, analytics, security, support and other service providers. Their roles and relevant processing will be explained in our notices. We will put required contractual and transfer safeguards in place. We do not promise that every service, support activity or backup is located in the UK unless we expressly agree a specific location commitment.
27.4 An organisational account does not automatically make Rowse a processor for all information associated with it. Where a Service involves our processing personal data solely on your organisation's behalf, a suitable data-processing agreement containing the required terms must be agreed before that processing begins. These general Terms alone are not intended to replace it.
27.5 You must provide only information that you are entitled to provide and that is appropriate for the service. We will meet our own security, breach-response and individual-rights obligations. No disclaimer, liability cap or claim of ownership over content removes a person's non-excludable data-protection rights.
28. Rowse and third-party intellectual property
28.1 Our websites, original text, graphics, branding, software, source code, database structure, interface designs, calculation implementations, templates, symbol libraries and other platform materials are owned by Rowse or their respective licensors, to the extent the relevant intellectual property rights exist. Manufacturer names, product images, datasheets and other third-party materials remain subject to their owners' rights.
28.2 Subject to these Terms and any disclosed third-party restrictions, you may view and use relevant materials for lawful product evaluation, purchasing, installation reference and your own or your customers' legitimate project work. You may keep reasonable copies of information relevant to a purchase and use an authorised export function. Do not remove notices needed to identify ownership, attribution or safety limitations.
28.3 Except as permitted by law, an express licence or clause 30, you may not reproduce substantial parts of our content or databases for republication, sell our templates or libraries as standalone assets, copy or redistribute our software, or represent our branding as your own. You must not falsely suggest a partnership, endorsement or official status.
28.4 You may link to a publicly available page fairly and lawfully, without implying endorsement or bypassing access restrictions. Framing our website or using our logo as a commercial endorsement requires permission. Nothing in these Terms prevents lawful criticism, fair dealing or another non-excludable use.
29. Ownership and permitted use of Customer Content
29.1 You or the relevant rights holder retain intellectual property rights in material you upload and in your own original contributions created using our Tools. Uploading a drawing, writing text or designing a circuit on our website does not, by itself, transfer ownership of that original work to Rowse.
29.2 You grant us a non-exclusive, royalty-free licence to host, store, reproduce, process, technically adapt, transmit and display Customer Content only as reasonably necessary to provide the service you request, implement your sharing instructions, support and secure it and meet legal obligations. This licence may be exercised through authorised service providers subject to appropriate restrictions, including where lawful cross-border hosting is used.
29.3 The licence does not give us a general right to sell your designs, publish private projects or use them for unrelated marketing or model training. It lasts only for as long as reasonably necessary for the permitted purposes, including lawful retention and protected backup cycles following deletion. Continuing legal retention does not authorise unrelated reuse.
29.4 You must hold the permissions reasonably needed for the material you supply and the instructions you give. We do not acquire rights that you cannot lawfully grant. You do not give up moral rights merely by accepting these Terms; you permit necessary technical formatting that does not falsely attribute authorship or materially misrepresent your work.
30. Rights in generated Output and exported documents
30.1 Output may combine your original material, Rowse-owned material, third-party components and automatically generated results. Rights in each component remain with the person who legally owns them. Rowse retains rights it actually owns in its templates, software, libraries and original generated material, but does not claim ownership of your underlying invention, confidential know-how or original design merely because our Tool helped produce an Output.
30.2 Where Rowse owns rights in an Output or embedded Rowse components, we grant you a worldwide, non-exclusive, royalty-free licence to download, retain, copy, adapt and use that Output for your own and your customers' lawful personal or commercial projects, including procurement, manufacture, installation, maintenance and project documentation. Any agreed charge for the Output must be paid. The licence continues for lawfully obtained Output after your account ends.
30.3 You may share Output with customers, colleagues, advisers, contractors and suppliers to the extent needed for those projects. This does not license distribution of our underlying software, resale of our symbol or template libraries as standalone products, wholesale extraction of our catalogue or use of protected platform components to reproduce a competing Tool.
30.4 Third-party components remain subject to any licence restrictions clearly identified before the relevant use or export. We will not purport to grant rights we do not have. Disclosed restrictions on one component do not transfer your own underlying intellectual property to us.
30.5 We do not promise that every numerical result, machine-generated element or other Output attracts copyright, is unique or is capable of exclusive ownership. Any assignment of intellectual property or exclusive rights must be separately agreed with the actual rights holder and satisfy applicable legal formalities. This clause does not exclude liability for an express rights warranty we give.
30.6 Do not present amended Output as independently checked, approved or certified by Rowse. Retain relevant safety warnings and identify material modifications where needed to avoid misleading recipients. Your permitted use of Output does not imply that a manufacturer endorses the overall system.
31. Reviews, public submissions and feedback
31.1 Where you deliberately submit a review or material for public display, you grant a non-exclusive, royalty-free licence to publish it on the relevant Rowse service, format it for presentation and make proportionate excerpts that preserve its meaning. This licence lasts while the material is published and for reasonable removal, backup and legal-retention purposes. Private support messages and saved projects are not public submissions.
31.2 Public reviews must reflect genuine experience. Do not submit fabricated reviews, impersonate another person or conceal a relevant incentive or commercial connection. We may moderate unlawful, irrelevant, abusive, misleading or privacy-infringing content using a fair approach. A negative opinion alone is not grounds for removal, and moderation will not be used to misrepresent overall feedback.
31.3 We will seek separate permission before using private communications, identifiable customer projects or testimonials in unrelated advertising unless another clear prior agreement authorises that use. Personal data remains subject to the Privacy Policy and applicable rights.
31.4 You may offer non-confidential suggestions for improvement. We may implement the general idea without an obligation to pay or credit you, but do not acquire protected material, confidential information, patents or other exclusive rights merely because it appears in feedback. Identify any proposed confidential or commercially restricted disclosure before sending it.
32. Integrations, external links and third-party services
32.1 Where you choose to connect an external system, confirm that you have authority, understand the data that will be shared and review the provider's relevant terms. We are responsible for our integration commitments; the independent provider is responsible for its separate service. We do not exclude responsibility for subcontractors or providers to the extent the law or our Contract makes us responsible.
32.2 An external link is not a guarantee of third-party content or performance. A third party's licence or service terms will not impose an undisclosed charge or materially reduce an agreed Rowse obligation. Restrictions material to a purchase or paid feature will be disclosed before you commit.
32.3 API keys and integration credentials must be kept secure and used within authorised limits. Automated ordering, catalogue feeds, punchout connections and data exports may require a separate agreement defining permitted use, access limits, support, ownership and data handling.
33. Suspension, account closure and data retrieval
33.1 We may restrict access where reasonably necessary to address a serious security risk, unlawful activity, fraud, material misuse or a material breach of these Terms. We will explain the reason where lawful, use a proportionate restriction and normally give an opportunity to remedy a remediable breach, allowing at least 14 days unless the circumstances reasonably require quicker action.
33.2 We will not close an account solely because you exercise a statutory right or make a genuine complaint. Suspending a Tool or account does not automatically cancel accepted orders, remove accrued rights or justify retaining money for unprovided performance.
33.3 You may stop using free services and request account closure. Paid services end under their agreed cancellation arrangements and applicable law. Before closure, retrieve important records and Output. Where we close an account without urgent grounds preventing access, we will offer a reasonable opportunity, normally at least 30 days, to retrieve available Customer Content.
33.4 We may restrict retrieval of unlawful material or access that would create an immediate legal or security risk, but will consider a safe alternative where appropriate. Closure does not extinguish properly accrued payment obligations, lawful retention requirements or licences intended to survive under these Terms.
Part D - Liability, disputes and general provisions
34. Liabilities and rights that are not excluded
34.1 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, liability concerning the right to sell Goods that cannot lawfully be restricted, liability under the Consumer Protection Act 1987 that cannot be excluded, or any other liability which it is unlawful to exclude or limit.
34.2 Nothing removes a Consumer's mandatory rights relating to Goods, Services, digital content, delivery, refunds, unfair terms or data protection. A requirement to check a result, keep backups, inspect Goods or use competent installers is not a blanket transfer of responsibility for our own breach to you.
34.3 Clauses expressly limited to Business Customers, including the business financial cap and business indemnity, do not apply to Consumers. If a provision would otherwise conflict with a mandatory right, that right takes priority.
35. Responsibility to Consumers
35.1 We are responsible for foreseeable loss or damage caused by our breach of the Contract or failure to use reasonable care and skill. Loss is foreseeable where it was an obvious consequence or was contemplated by you and us when the Contract was made.
35.2 We are not responsible to the extent loss is caused by your own fault or could reasonably have been avoided by following clear, appropriate instructions, but this does not remove a statutory remedy. We do not apply a blanket purchase-price cap to Consumer claims or a general disclaimer of all responsibility for our websites and Tools.
35.3 Where digital content we supply causes qualifying damage to your device or other digital content because we failed to exercise reasonable care and skill, we will provide the repair or compensation required by law. This protection is not removed by a recommendation to maintain backups.
35.4 Transactions genuinely made for business purposes are governed by the applicable Business Customer provisions. We will not reclassify a predominantly personal transaction as a business purchase merely to exclude Consumer protection.
36. Business liability limits
36.1 This clause applies only to Business Customers and is subject to clause 34 and any separately negotiated liability agreement. It applies to claims in contract, negligence or other tort, misrepresentation other than fraud, breach of statutory duty or otherwise arising from the relevant Contract or service.
36.2 To the extent lawful and reasonable, we are not liable for loss of profit, revenue, business, anticipated savings or goodwill, whether direct or indirect, or for indirect or consequential loss. This does not exclude the direct reasonable cost of restoring data lost through our breach, subject to the financial limit below, or a refund otherwise due for performance not supplied.
36.3 Our total liability arising out of a particular Contract will not exceed the higher of £10,000 and 150% of the total charges paid or payable under that Contract. For a continuing service, the charges used are those paid or payable for the 12 months immediately preceding the first event giving rise to the claim, or the shorter period since that service began. For free website or Tool use not linked to a paid Contract, the aggregate limit is £10,000 for events occurring in any rolling 12-month period.
36.4 These limits do not reduce an obligation to return sums due for cancelled, rejected or unprovided performance, nor do they cap liability excluded from limitation by clause 34. A series of related claims arising from the same cause is treated together, without using that rule to aggregate genuinely unrelated Contracts artificially.
36.5 Any exclusion or limit is effective only to the extent legally enforceable, including under the applicable reasonableness test. Before entering a Contract, tell us about an exceptional application or risk requiring a separately negotiated allocation of responsibility or insurance. Such a request does not itself vary the agreed limit.
37. Business responsibility for third-party claims
37.1 For Business Customers only, you will reimburse reasonable third-party damages and legal costs we are required to pay to the extent directly caused by your breach of the permissions warranty for Customer Content or your unlawful use of the service. This does not cover loss caused by our own breach, negligence, unauthorised modification or use outside the permissions you granted.
37.2 We must notify you promptly, provide reasonable information, take reasonable steps to reduce loss and allow you reasonable participation in the defence. Neither party may agree a settlement imposing liability, admissions or non-financial obligations on the other without its reasonable consent.
37.3 Your liability under this clause is subject to the same financial limit calculated under clause 36.3, except for your fraud or deliberate unlawful conduct. This clause does not create an indemnity against Consumers and does not permit recovery of the same loss twice.
38. Events outside reasonable control
38.1 An event outside a party's reasonable control may delay performance, such as a natural disaster, war, major transport interruption or legal prohibition. Ordinary cost increases, lack of funds or an avoidable supplier problem are not automatically such events. The affected party must take reasonable precautions, notify the other promptly and take reasonable steps to reduce the impact.
38.2 Affected obligations may be suspended only to the extent and for the period reasonably prevented by the event. We will explain any practical alternatives. This does not automatically authorise a price increase or indefinite retention of advance payments.
38.3 If affected performance remains substantially prevented for 60 days, either party may end the affected unperformed part by notice, unless a shorter termination right already applies. We will refund amounts due for unprovided performance. A Consumer's statutory delivery, cancellation, refund and other rights apply sooner wherever the law provides them.
39. Complaints and dispute resolution
39.1 Please contact us using clause 1 with your order or account reference, a description of the issue and the outcome sought. We will investigate fairly, explain the next steps and respond within a reasonable time. Do not include unnecessary sensitive information in a complaint.
39.2 If a Consumer complaint remains unresolved after our internal procedure, we will provide information about an appropriate alternative dispute resolution route and explain whether we are required or willing to participate. We will meet any applicable information or participation requirement. We do not claim membership of a particular scheme unless we have identified it expressly.
39.3 Raising a complaint or considering alternative dispute resolution does not remove your right to bring court proceedings or take advice. We do not require a Consumer to accept mandatory arbitration or give up access to a court. Contractual discussion periods do not extend a legal claim deadline unless expressly agreed in a legally effective way.
40. Governing law and courts
40.1 These Terms and Contracts are governed by the law of England and Wales, subject to any mandatory law that applies despite that choice.
40.2 For Business Customers, the courts of England and Wales have exclusive jurisdiction unless a separate agreement states otherwise.
40.3 A Consumer may bring proceedings in the courts available under applicable consumer-jurisdiction rules, including, where applicable, the courts of the part of the United Kingdom in which they live. A Consumer habitually resident elsewhere retains the protection of mandatory laws and jurisdiction rights applicable to them. This clause does not force a Consumer to give up protections that cannot lawfully be waived.
41. General contractual provisions
41.1 Neither party loses a right merely by delaying its exercise. If a provision is invalid or unenforceable, the remaining provisions continue where legally possible; an unfair Consumer term will not be treated as binding simply because the rest of the Contract remains in force.
41.2 Neither party may transfer a Contract in a way that unlawfully reduces the other's rights. We may transfer it as part of a genuine business reorganisation or sale if performance and your protections are not adversely affected, giving required notice and any legally required opportunity to end the affected service. You may transfer rights with our reasonable written consent, subject to any non-excludable right to transfer.
41.3 These Terms do not create a partnership, agency or authority to bind the other party. No person who is not a party has a right to enforce a Contract under the Contracts (Rights of Third Parties) Act 1999 unless the Contract expressly provides otherwise. This does not restrict independent statutory rights or a separately granted manufacturer's guarantee.
41.4 The agreed Contract documents set out the agreement. This does not exclude fraudulent statements, an expressly agreed representation, information made binding by Consumer law or another remedy that cannot lawfully be excluded. No purchase-order acknowledgement or later policy notice silently changes the agreed scope.
41.5 Notices may be sent using the contact details provided, subject to any mandatory form or service requirement. A Consumer's cancellation may be made by any legally permitted clear statement. Electronic records may be evidence of an agreement, but are not automatically conclusive where their accuracy or authority is disputed.
41.6 Provisions intended to survive completion or closure, including accrued payment obligations, confidentiality, permitted Output licences, liability rules and dispute provisions, continue for their proper purpose and lawful duration.
